1. Introduction

These Terms of Service (“Terms”) govern your access to and use of the Skypay platform, website, APIs, and related services (collectively, the “Services”).

The Services are provided by Skypay (“Skypay”, “we”, “our”, or “us”), the operator of the Skypay platform and its affiliated entities.

By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not use the Services.

2. Definitions

For the purposes of these Terms:

“Platform” means the Skypay software platform, APIs, website, and associated infrastructure.

“User” means any individual or entity accessing or using the Services.

“Partner Institutions” means regulated financial institutions and licensed service providers that integrate with the Platform.

“Services” means the software, infrastructure, APIs, and tools provided through the Platform.

3. Description of Services

Skypay provides a technology platform that enables businesses to access payment and financial infrastructure through integrations with Partner Institutions and third-party service providers.

Skypay provides software and infrastructure services only.

Skypay does not provide banking, payment processing, or financial services directly.

Financial services accessed through the Platform are provided by regulated Partner Institutions, which may have their own terms and conditions that apply to users.

4. Eligibility

To use the Services you must:

  • be at least 18 years old

  • represent a legally registered business or organization

  • have authority to bind your organization to these Terms

Skypay reserves the right to approve or deny access to the Services at its discretion.

5. Account Registration

To access certain Services, users must create an account.

You agree to:

  • provide accurate information

  • keep your information updated

  • maintain the security of your login credentials

You are responsible for all activity conducted through your account.

6. Compliance Obligations

Users must comply with all applicable laws and regulations, including those relating to:

  • anti-money laundering (AML)

  • sanctions and export controls

  • fraud prevention

  • financial crime laws

Skypay may request additional information or documentation to satisfy compliance or regulatory requirements.

Failure to provide requested information may result in suspension or termination of Services.

7. Acceptable Use

Users may not use the Services to:

  • conduct illegal activities

  • facilitate fraud or financial crime

  • evade regulatory requirements

  • process transactions related to prohibited industries

8. Third-Party Services

The Platform may integrate with third-party services including:

  • financial institutions

  • payment processors

  • compliance and identity verification providers

  • infrastructure providers

Use of these services may be subject to separate terms imposed by those providers.

Skypay is not responsible for the services provided by third parties.

9. Fees

Fees for the Services may include:

  • platform subscription fees

  • transaction or usage fees

  • integration or onboarding fees

Applicable fees will be disclosed through pricing schedules, agreements, or invoices.

10. Suspension and Termination

Skypay may suspend or terminate access to the Services if:

  • these Terms are violated

  • compliance concerns arise

  • regulatory requirements require suspension

Users may terminate their account by notifying Skypay.

11. Limitation of Liability

To the maximum extent permitted by law, Skypay will not be liable for:

  • indirect damages

  • loss of profits

  • loss of data

  • business interruption

Skypay’s total liability shall not exceed the amount of fees paid by the user during the twelve months preceding the claim.

12. Indemnification

Users agree to indemnify and hold harmless Skypay from any claims, damages, or liabilities arising from:

  • misuse of the Services

  • violation of these Terms

  • violation of applicable laws or regulations.

13. Governing Law

These Terms shall be governed by the laws of the jurisdiction in which the applicable Skypay entity providing the Services is incorporated, without regard to conflict of law principles.

14. Changes to Terms

Skypay may update these Terms periodically.

Continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
